Terms and Conditions
Metalight Solutions (“Metalight”, “we”, “us”, or “our”) provides this website (“Site”). These Terms and Conditions (“Terms”) govern your access to and use of the Site. Separate written contracts (such as staffing, subcontracting, or placement agreements) may apply to commercial engagements; where those agreements conflict with these Terms regarding the same subject matter, the written contract typically prevails unless prohibited by law. 1. Eligibility
You represent that you are not barred from entering into contracts in your jurisdiction and, if acting on behalf of an organization, that you have authority to bind that organization regarding your submissions and inquiries.
2. Permitted Use
Use the Site for lawful business or personal purposes aligned with staffing and workforce services. Without limiting other remedies, we may deny or end access if you misuse the Site, including by attempting unauthorized access, distributing malware, overloading infrastructure, circumventing safeguards, harvesting contact data unlawfully, or submitting misleading or infringing content.
3. Intellectual Property
All content on the Site (text, layouts, logos, trademarks, imagery, marks, and underlying code) belongs to Metalight or its licensors. No rights are granted except the limited licence to browse the Site for informational purposes. Unauthorised reproduction, scraping for competitive databases, or removal of notices is prohibited.
4. Your Submissions
When you submit contact forms, CVs/resumes, job briefs, or other materials:
- You affirm the information is accurate to the best of your knowledge and you have the rights to share it under applicable confidentiality, intellectual property, and employment obligations.
- Exclude highly sensitive regulated data unless we direct you through an approved secure channel.
- You grant Metalight a worldwide, royalty-free licence to receive, review, copy, analyse, organise, disclose to appropriate clients or vendors solely for recruitment and staffing operations, retention for legal and audit purposes, and improvement of lawful business processes, in line with our Privacy Policy and supplemental agreements where applicable.
5. Disclaimer of Warranties
The Site and its content are provided “as is” and “as available.” To the fullest extent permitted by law, Metalight disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and freedom from interruptions or errors. Salary ranges, illustrative role examples, timelines, testimonials, geography statements, certifications, and similar marketing material are directional only and non-binding absent a written agreement.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Metalight and its affiliates, directors, employees, contractors, vendors, successors, and assigns are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business interruption arising out of Site use—even if foreseeable. Direct damages tied solely to gratuitous informational Site access are capped at the greater of (a) USD $100 or (b) the fees you paid Metalight expressly for the specific disputed paid digital interaction in the three (3) months preceding the claim if any such narrowly scoped transactional offering existed. Some jurisdictions disallow certain limitations; conflicting provisions yield to mandatory consumer protections preserving minimum remedies.
7. Indemnity
You will defend, indemnify, and hold harmless Metalight from claims, losses, liabilities, damages, costs, and reasonable attorneys’ fees arising from your misuse of the Site, breach of these Terms, unlawful submissions, or violation of third-party rights, except where prohibited by law.
8. Links to Third-Party Sites
Linked sites operate independently under their own policies. Inclusion of a link does not imply endorsement; Metalight is not responsible for third-party content or privacy practices.
9. Governing Law and Forum
These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict-of-law principles. Subject to applicable law, you agree to the non-exclusive jurisdiction of the state and federal courts located in Maryland for any dispute arising out of or relating to these Terms or your use of the Site.
10. Termination and Suspension
We may suspend or terminate access to the Site or remove content at our discretion, including where we reasonably believe misuse, security risks, or legal obligations require it.
11. Changes to These Terms
We may revise these Terms by updating the “Last updated” date. Where law requires additional notice for material changes, we will comply. Continued use after changes become effective signifies acceptance unless you stop using the Site, subject to rights that cannot be waived.
12. General
If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without Metalight’s consent; Metalight may assign them in connection with mergers, reorganizations, or acquisitions. These Terms set out the entire agreement between you and Metalight relating to Site use, overriding prior inconsistent representations on the same subject (except as law may prohibit).
